Does every company or LLP need GST registration?
No. A company or LLP faces the same turnover test as anyone. Registration becomes compulsory once aggregate turnover crosses ₹40 lakh for goods-only suppliers, or ₹20 lakh for services, in most states.
Incorporation alone doesn't trigger GST. Section 24 of the Central Goods and Services Tax (CGST) Act makes registration compulsory at any turnover in set cases, such as inter-state supplies of goods or paying tax under reverse charge. GST registration for new company owners can also be voluntary, before turnover builds. Once you're liable, apply within 30 days.

GST registration for OPC applicants follows the private limited column, because an OPC is a private company under the Companies Act, 2013. The MOA and AOA, or the LLP agreement, aren't among the documents required for GST registration for company uploads, but keep them ready. Who is the authorised signatory, and how is the DSC used?
In GST registration for private limited company and LLP applicants, the authorised signatory signs the application, and later the returns. You name exactly one Primary Authorised Signatory and can add up to 10 signatories in total. An employee who isn't a director or partner can be one.
Each signatory needs a proof of appointment. For a company, that's a copy of the board resolution plus the signatory's acceptance letter. For an LLP, it's a letter of authorisation from the partners.
The GST portal's FAQ manual makes a DSC mandatory for private and public limited companies and LLPs, and Rule 26 of the CGST Rules says the same for companies. It must be PAN-based, valid and unrevoked: get it from a licensed certifying authority and register it on the GST portal before you submit.
How do you apply for GST registration for a private limited company or LLP?
The GST registration process for company and LLP applicants runs online in two parts of REG-01, signed with the DSC, then Aadhaar authentication:
- Part A: enter the business PAN, mobile number, email and state. After two one-time passwords (OTPs), you get a Temporary Reference Number (TRN).
- Part B: fill in business details, directors or partners, signatories, place of business and goods or services.
- Uploads: documents as PDF or JPEG up to 1 MB, photos as JPEG up to 100 KB.
- Submit with DSC: the other signing buttons stay disabled for companies and LLPs.
- Aadhaar authentication: a link goes to the Primary Authorised Signatory and one selected director or designated partner, valid for 15 days. Some applicants are asked instead to book a biometric check at a GST Suvidha Kendra (GSK).
- ARN and approval: you get an Application Reference Number (ARN), then the officer's decision.
Skipping Aadhaar authentication for GST registration means physical verification. Under Rule 9 and CBIC Instruction 03/2025-GST, a complete application that isn't flagged as risky is approved within 7 working days. If Aadhaar authentication isn't done, the portal flags the application as risky, or the officer orders a site visit, the limit is 30 days from submission, after physical verification of the premises.
If the officer raises a query in FORM GST REG-03, reply in REG-04 within 7 working days. The CGST Rules set these steps in Rules 8 and 9, and the GST portal's registration user manual shows each tab.
